Chapter 1 Export Controls Confidential Information is subject to US export control laws and regulations, and may be subject to export or import regulations in other countries. The parties hereto agree that Confidential Information has not been specifically developed or modified for a military or space application and furthermore, is not subject to the US International Traffic in Arms Regulations.(ITAR). Receiver agrees that it will not export, reexport or transfer Confidential Information, or any products developed with or utilizing Confidential Information, in violation of any applicable laws or regulations of the United States or the country where the Confidential Information was obtained.
Miscellaneous This Agreement shall bind and inure to the benefit of the parties hereto and their successors and assigns. Neither party may assign or transfer any other parts. This Agreement shall be governed by the laws of the State of California, without reference to its conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the Confidential Information disclosed hereunder and supersedes all prior or contemporaneous agreements, whether written or oral concerning such Confidential Information. This Agreement may not be amended, nor any obligation waived, except by a writing signed by both parties hereto. Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision hereof.
